Pick-up Service Terms of Use

1. Purpose and Scope of Application
1.1 These Terms of Use shall be applicable to the agreement between the Merchant and Edenred Finland Oy (”Edenred”). In accordance with these Terms of Use, the Merchant may order Pick-up delivery for the Luncheon and Virikeseteli voucher reimbursements (the ”Pick-up Service”).
1.2 The Pick-up Service shall only be available to Merchants with a valid Agreement with Edenred regarding the acceptance of means of payment for meal and/or sports and cultural services.
1.3 The Pick-up Service shall be subject to the general terms of contract applicable to the Agreement, currently in force. The Pick-up Service constitutes a Supplementary Service referred to under the terms and conditions applicable to the Agreement.
1.4 When submitting an order on Edenred’s Website or via a separate Online Service, the Merchant agrees the Pick-up Service Terms of Use Currently in force.
1.5 Edenred shall have the right to update the Pick-up Service Terms of Use binding upon the Merchant at any time.
1.6 The Pick-up Service is intended for use in Finland, only.
2. Validity
2.1 When submitting an order on Edenred’s Website or via a separate Online Service, the Merchant agrees the Pick-up Service Terms of Use currently in force. In case the Merchant does not wish to agree to these Terms of Use, it must cease the use of the service immediately, and in such a case the order shall not be completed.
2.2 The terms of use shall takes effect when the Pick-up Service is ordered and the terms and conditions thereof accepted. The Pick-up Service Terms of Use shall be valid until the payment of the voucher reimbursement.
3. Pick-up Service
3.1 The Pick-up Service shall be carried out by a Service Provider co-operating with Edenred.
3.2 The Merchant may order the Pick-up Service on a separate form intended for the service on the Website, or using a separate Online Service. The Merchant must fill in the mandatory information required for the order. The required information comprise the Merchant’s customer number, reimbursement number, contact details, time of Pick-up and acceptance of the Pick-up Service Terms of Use.
3.3 The Merchant shall be liable for the correctness of the information provided by it and shall ensure, when submitting the order, that the handing over of the voucher reimbursements is possible at the time confirmed in the order. The Pick-up of the voucher reimbursements shall occur from the address designated by the Merchant in its order.
3.4 The Service Provider co-operating with Edenred shall pick-up from the Merchant the package packed in accordance with separate reimbursement guidelines and shall transport the delivery to Edenred’s voucher reimbursement processing within approximately three days of the handing over of the vouchers. Following the verification calculation of the reimbursements, the difference between the gross amount of the reimbursement and the Service Price List shall be paid for the Merchant according to reimbursement time marked at the contract. The Lounari and Virike service price lists currently in force are available on the Website.
3.5 Packaging materials offered by Edenred, provided by Service provider and for using this service, is intended and to be used only for pick-up service.
4. Price of the Pick-up Service
4.1 The Pick-up Service shall be subject to the Service Price List under the general terms of contract applicable to the agreement between the Merchant and Edenred. The charge for the Pick-up Service set forth in the Service Price List shall be deducted directly from the Merchant’s voucher reimbursement.
4.2 Edenred shall have the right to collect from the Merchant a Pick-up Service fee set forth in the Service Price List by means of a separate invoice, in case the Merchant has ordered a Pick-up delivery for its voucher reimbursements, and fails to be present to hand over the voucher reimbursement when the delivery service arrives to retrieve the voucher reimbursement at the time set forth in the order, or when the Pick-up address has been inserted incorrectly.
5. Pick-up Service User Rights and Intellectual Property Rights
5.1 Copyright to the use of the Pick-up Service shall be vested in Edenred or its co-operation Service Provider.
5.2 Any copying, utilisation, reproduction, borrowing, other transmission and other commercial exploitation in any form whatsoever, even partially, of the Pick-up Service and of the material available via same without Edenred’s written consent shall be prohibited.
6. Rights of Edenred and Service Provider and Limitations of Liability
6.1 Edenred shall not be liable for the functioning of the software required for the utilisation of the Pick-up Service, or for any indirect or consequential damage or losses incurred by the user as a result of any defects or disruptions occurring in same, or in the Pick-up Service, including any loss of profit, market share, turnover, business, production or goodwill.
6.2 Edenred shall not be liable for any outages, viruses, communications disruptions or any modification or loss of information potentially caused by same, or for any other comparable damage.
6.3 Edenred shall not be liable for any defect, delay or damage caused by an unusual or unforeseen cause outside of Edenred’s control, the consequences of which it could not have avoided with reasonable diligence.
6.4 The Service Provider shall have the right to modify the Pick-up Service, to reproduce and disseminate, as well as delete any information presented in the Pick-up Service, and other material.
7. Rights and Obligations of the Merchant
7.1 The Merchant shall be liable for any damage caused to the Merchants or third parties from the utilisation of this service and the content thereof in violation of these terms and conditions, legislation, authority regulations or good practice.
7.2 The Merchant shall be liable for ensuring that it does not transmit to any third parties or otherwise utilise this Pick-up Service unlawfully.
7.3 The Merchant shall be solely liable for any costs and other consequences of the Pick-up Service ordered by it from the Website or the Online Service.
8. Miscellaneous
8.1 Edenred shall collect information pertaining to the utilisation of the Pick-up Service in connection with logging-in to the service. The information so collected comprises, inter alia, identification information of the users of the service. The information is stored in registers administered and maintained by Edenred. The Merchant agrees to Edenred and the Merchants owning same having the right to process and disclose information found in Edenred’s registers.
8.2 Edenred shall collect and process information solely for the purpose and in the scope necessary to ensure the technical execution and utilisation of the Pick-up Service and the Online Service, as well as to ensure the data security of the services and the utilisation thereof. Edenred shall process the collected information to maintain the high quality of its services, to optimize usability and in order to test and develop the services, and the information collected shall never be utilised for purposes other than those pertaining to the implementation and enhancement of Edenred’s services.
8.3 In all processing of personal and other data, Edenred shall comply with the provisions of the Finnish Personal Data Act and shall ensure the appropriate protection of the collected data. Edenred shall never transmit, sell or exchange the information collected by it in connection with the Pick-up Service to any third parties for marketing purposes. Edenred shall only disclose the information collected by it in order to enable and ensure the delivery of the services ordered by the Merchant.
8.4 The collected information shall be retained for as long as necessary to fulfil the aforementioned purposes, or for as long as stipulated in the law. Thereafter the collected information shall be deleted.
8.5 Users of Edenred’s service shall at any time have the possibility of requesting information about the personal data concerning the user in Edenred’s possession, as well as to request for the rectification or deletion of any erroneous, deficient or superfluous information in accordance with the Finnish Personal Data Act.
